1. SCOPE

1.1. These Terms and Conditions (“Terms”) govern all business relationships between Milehold UAB (hereinafter referred to as the “Seller”) and its customers (hereinafter referred to as the “Customer”) through the online store milehold.com

1.2. By placing an order through our website, the Customer agrees to these Terms in their entirety. Deviating or conflicting terms and conditions of the Customer are not recognized unless expressly approved in writing by the Seller.

1.3. Customers are considered consumers if the purpose of the order cannot be attributed to their commercial or independent professional activity. Business customers are natural or legal persons acting within the scope of their commercial or professional activity.

1.4. By accessing or using our Website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of the Terms, please do not use our Website.

2. OFFERS AND SERVICE DESCRIPTIONS

2.1. The product listings in the online shop are not legally binding offers but serve as an invitation for the Customer to place an order.


2.2. Descriptions of products and services, including technical specifications, drawings, and illustrations, are for informational purposes only and do not constitute a guarantee of specific properties.


2.3. All offers are valid “while stocks last” unless otherwise stated in the product description.

3. ORDER PROCESS AND CONCLUSION OF CONTRACT

3.1. The Customer can select products and add them to the shopping cart using the “Add to Cart” button. The order process can be reviewed and modified at any time before final submission.


3.2. By clicking the “Place Order” or “Pay Now” button, the Customer submits a binding offer to purchase the selected goods.


3.3. Upon receiving the order, the Seller sends an automatic confirmation e-mail. This confirmation acknowledges receipt but does not constitute acceptance of the order.


3.4. The purchase contract is concluded only when the Seller confirms the order in a separate e-mail or dispatches the goods.


3.5. For prepayment orders, the contract becomes effective upon provision of the Seller’s bank or payment details and payment request. If no payment is received within 10 calendar days, the order will be automatically cancelled.

4. PRICES AND SHIPPING COSTS

4.1. All prices displayed on the website are in Euro (EUR) and include all applicable Lithuanian taxes, except VAT (Seller is not VAT registered).


4.2. Shipping costs are calculated separately and shown clearly before the order is finalized.


4.3. Any customs duties, import taxes, or brokerage fees for deliveries outside the EU are the sole responsibility of the Customer.

5. DELIVERY AND AVAILABILITY OF GOODS

5.1. Delivery is carried out after full payment has been received. The Seller ships worldwide (EU and non-EU countries) using DHL as the primary delivery service.

5.2. Delivery within the European Union usually takes 3 to 14 days. For non-EU countries, delivery times depend on the carrier’s logistics and customs processing at the time of the order.

5.3. The Seller ships worldwide (EU and non-EU countries). Delivery times and country restrictions are specified on the website or during checkout. Delivery is not carried out to countries, regions, or territories subject to EU, U.S., or United Nations trade or shipping sanctions.

5.4. If a product becomes unavailable due to supplier issues beyond the Seller’s control, the Seller will inform the Customer promptly and offer a refund or alternative item.

5.5. If delivery fails after three attempts due to the Customer’s fault (e.g. incorrect address, unclaimed package), the Seller reserves the right to withdraw from the contract. Paid amounts will be refunded minus incurred delivery costs.

6. REFUND AND RETURN POLICY

6.1. Customer have the right to return your purchase within 30 days from the date you received the goods, without giving any reason.

6.2. To initiate a return, the Customer must first contact us at info@milehold.com to receive return authorization and a return label. This ensures proper handling and tracking of the return.
Packages sent back without prior notification or identification may be delayed or rejected.

6.3. Returns are accepted only for unused products in original packaging, including all accessories. The return shipment must be sent within 30 days of the delivery date.

6.4.Refunds cover the product value onlyShipping and return costs are deducted from the refund. Processing time: up to 14 days after we receive and inspect the returned goods.

6.5. Return shipping costs:

  • EU-zone : €40.00

  • Rest of the world : €55.00

6.6. The Customer is responsible for ensuring that the package reaches us safely and must provide a valid tracking number. Untracked or lost parcels cannot be refunded.

6.7. The right of withdrawal does not apply to:

  • Products that have been unsealed, installed, modified, or used.

  • Electronic control modules or components that have been connected to a vehicle or system.

  • Products damaged by improper handling or installation.

  • Custom-made or special-order items produced to customer specifications.

For partially used or tested products, a partial refund of up to 60% may be granted after inspection, depending on condition and resale potential.

6.8. If a customer refuses delivery, or fails to pay import duties or taxes causing the parcel to return, the Seller reserves the right to deduct both outbound and return shipping costs from the refund.

7. PAYMENT ARRANGEMENTS

7.1. Payment is made in advance using one of the following methods:

PayPal

Credit or Debit card

Bank transfer

7.2. Orders are processed only after full payment is received.

7.3. Payment service providers (e.g., Paysera, PayPal) operate under their own terms and privacy policies, which also apply to the transaction.

7.4. If payment is delayed, statutory default interest may be applied

8. RETENTION OF TITLE

All delivered goods remain the property of Milehold UAB until full payment has been received.

9. WARRANTY FOR DEFECTS AND GUARANTEE

9.1. Warranty is provided in accordance with the applicable laws of the Republic of Lithuania.

9.2. Products are guaranteed only if explicitly stated in the product description.

9.3. The Seller is not liable for damage resulting from improper installation, misuse, or modification of the product.

10. LIABILITY

10.1. The Seller shall be liable without limitation for damage caused intentionally or by gross negligence.

10.2. In the event of slight negligence, the Seller shall be liable only for the breach of essential contractual obligations (cardinal duties), and only for foreseeable and typical damages.

10.3. The Seller shall not be liable for indirect, incidental, or consequential damages.

10.4. The limitations of liability do not apply to damages resulting in death or personal injury, fraud, or product liability as per applicable law.

10.5. Disclaimer on product use: All products sold by Milehold UAB are intended exclusively for research and development.

11. STORAGE OF CONTRACT TEXT

11.1. The Customer may print or save the order summary before submitting it.

11.2. After placing an order, the Customer will receive an order confirmation by e-mail including the main contractual details.

11.3. The Seller stores contract data but does not make it accessible online after purchase. If the Customer creates an account, previous orders can be viewed under their profile.

12. FINAL PROVISIONS

12.1. The contract is governed by the laws of the Republic of Lithuania.

12.2. The place of performance and jurisdiction is Vilnius, Lithuania, provided the Customer is a business entity.

12.3. Contract language: English (translations may be provided for convenience only).

12.4. The Seller does not adhere to any specific code of conduct under the Law on the Prohibition of Unfair Commercial Practices.

12.5. Consumers in Lithuania may also contact the State Consumer Rights Protection Authority (VVTAT) for out-of-court dispute resolution:

12.6. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.

13. RIGHTS AND OBLIGATIONS OF THE PARTIES

 13.1. Seller’s Rights and Obligations
  1. Right to modify or refuse orders:
    The Seller reserves the right to refuse or cancel an order in cases of suspected fraud, incorrect pricing, or unavailability of goods.

  2. Obligation to deliver:
    The Seller is obligated to deliver the purchased goods to the Customer in proper condition, in accordance with the description provided on the website, after full payment has been received.

  3. Right to verify payment:
    The Seller may verify the validity of payment and suspend delivery until payment is confirmed.

  4. Right to amend Terms and website content:
    The Seller has the right to update prices, product information, and Terms at any time. Such changes apply only to new orders.

  5. Obligation to provide support:
    The Seller shall respond to Customer inquiries and provide assistance related to ordering, returns, and warranty matters via the official contact e-mail: info@milehold.com.

  6. Obligation to ensure legal compliance:
    The Seller undertakes to comply with applicable laws of the Republic of Lithuania governing consumer protection, e-commerce, and distance selling.


13.2. Buyer’s (Customer’s) Rights and Obligations
  1. Right to information:
    The Customer has the right to receive clear and accurate information about the goods, prices, delivery conditions, and refund policies before placing an order.

  2. Right to withdraw from the contract:
    The Customer has the right to return unused goods under the conditions described in Section 6 (Refund and Return Policy).

  3. Obligation to provide accurate information:
    The Customer must provide correct and complete personal, delivery, and payment details. The Seller is not responsible for delivery delays or failures due to inaccurate or incomplete data provided by the Customer.

  4. Obligation to pay:
    The Customer is required to pay the full purchase amount in advance using the available payment methods listed in Section 7.

  5. Responsibility for import and customs:
    The Customer is responsible for paying any import duties, taxes, or customs fees that may apply in their country.

  6. Obligation to use products lawfully:
    The Customer agrees to use products only for their intended purpose (e.g., research or off-road testing) and acknowledges full responsibility for any unlawful use as stated in Section 10.5.

  7. Right to warranty:
    The Customer is entitled to a warranty for manufacturing defects as outlined in Section 9, provided the product has been used correctly and not altered or damaged.

  8. Responsibility for returns:
    The Customer must ensure that returned goods are securely packaged, tracked, and accompanied by the Seller’s return authorization label.
